Dr. Germar Enders (Counsel, Munich) focuses his practice on mergers and a cquisitions (M&A), private equity and general corporate law. Germar has extensive experience in advising strategic and financial investors as well as management teams on domestic, cross-border and multi-jurisdictional transactions, and on all aspects of corporate law, including corporate structurings. Prior to joining McDermott, Germar worked at other leading international law firms in the field of corporate/ M&A and as Assistant Professor at the Max-Planck-Institute and the University of Munich. During his legal clerkship, he trained in Cologne and New York. He regularly publishes articles on matters of corporate and civil law, including in legal reference books and commentaries. Raphaël Ben Chemhoun, Associate, McDermott Will & Emery AARPI, Paris Dr. Uwe Goetker, Partner, McDermott Will & Emery Rechtsanwälte Steuerberater LLP, Duesseldorf Raphaël Ben Chemhoun focuses his practice on nati- onal and international mergers and acquisitions and private equity transactions. He advises French and in- ternational companies and joint ventures on all as- pects of corporate and financial law. Prior to joining McDermott, Raphaël worked as an associate for ano- ther leading international law firm. David Dai, Partner, MWE China Law Offices Shanghai Junda (David) Dai represents a variety of European and US clients in their direct investments in China, including green-field investments, cross-border mergers and acquisitions (M&A), venture capital and private equity investments, and strategic alliances. Leveraging more than 15 years of post-qualification experience, he advises clients, including many Fortune 500 com- panies, in a wide range of industries and areas, from manufacturing, infrastructure, telecommunications, media and technology (TMT), chemicals and energy, to health care, life science and agriculture. David has a special interest in the complicated compliance matters that surround business activity of multinationals in China and the resolution of international commercial disputes. He advised on matters related to foreign exchange, state-owned assets, environmental protection and commercial bribery. Dr. Uwe Goetker is a transaction lawyer with in- depth knowledge of restructuring/insolvency, and counsels companies and managements on out-of- court and in-court restructurings (including self-ad- ministration and insolvency plan proceedings), credi- tors and shareholders on the pursuance of their inte- rests in distressed situations and distressed debt/as- set investors/sellers regarding transactions–often in complex situations with groups of companies, vari- ous layers of financial instruments and/or cross-bor- der issues. In addition, Uwe has extensive experience in national and international mergers and acquisitions (M&A) transactions and joint ventures, and advises strategic and private equity investors in such matters. Uwe has been involved in many of the most prominent M&A and restructuring si- tuations in Germany. Uwe is the author of a book on management’s duties in an insolvency situation and co-editor of a book on cross-border insolvency. He also has contributed to several books and has published numerous articles on current restructuring/insolvency and M&A-related topics. Ding Han, Foreign Counsel, McDermott Will & Emery Rechtsanwälte Steuerberater LLP, Munich Ding Han (Foreign Counsel, Munich) focuses his legal practice on corporate transactions and corporate finance. He handles major cross-border transactions between Chinese and European clients, and has signifi- cant experience in cross-border mergers & acquisi- tions, and foreign direct investment in China. He also has a strong background in cross-border litigation, and in-depth firsthand experience within the manu- facturing industry. Dr. Michael Drill, CEO, Lincoln International AG, Frankfurt Dr. Nadine Hartung, Counsel, McDermott Will & Emery Rechtsanwälte Steuerberater LLP, Munich Dr Michael Drill is CEO of Lincoln International in Germany. In this role he provides overall strategic and operational leadership for the company’s activities in German speaking countries. His main activities com- prise the acquisition and management of key clients, the execution of important client assignments as well as the r ecruitment of qualified personnel. Michael Drill has 27 years of experience in advising on corporate finance transactions in German speaking countries. Since 1991, he has advised on various sell-sides, acquisitions, public takeovers and fairness opinions. Dr. Nadine Hartung advises clients on corporate law, mergers and acquisitions, corporate governance, private equity, corporate litigation and capital markets. Nadine has experience working with public and private compa- nies, private equity as well as with individual investors. She has advised clients based in Europe, the United States and Canada on various cross-border M&A deals. Nadine represents clients in a wide variety of industries, including health care, energy, publishing and transporta- tion.
