Einleitung Bei Verhandlungen über den Unternehmenskauf zwischen Käufer und Verkäufer liegt eine Haupthürde in unterschiedlichen Vorstellungen bezüglich Unternehmenswert (Verkäufer) und Unternehmenskaufpreisbereitschaft (Käufer). Es obliegt dem Verhandlungs- und Strukturierungsgeschick der M&A-Berater, diese grundsätzlich differierenden Preis- und Wertvorstellungen auf einen gemeinsamen Nenner zu bringen.
